Welcome to Proposal Expert. These Terms of Service describe how you may use our service and what you can expect from us. Please read them carefully, by using the service you agree to them.
Proposal Expert is currently offered as a free beta (test version). The Service is provided "as is" and "as available", without any warranty of any kind.
During the beta the Service may contain errors, change at any time and be interrupted or discontinued temporarily or permanently, without prior notice. There is no guarantee of availability, accuracy or retention of your data. Therefore, make your own backup of important information.
Use of the beta is entirely at your own risk. To the extent permitted by law, we are not liable for damage, data loss or consequential loss arising from use of the Service during the beta phase. This limitation does not apply to damage caused by intent or willful recklessness and does not affect your mandatory consumer rights.
No rights can be derived from participation in the beta and there is no right to compensation.
By creating an account or using the services of Proposal Expert ("Service"), you agree to these Terms of Service ("Terms"). If you do not agree with (any part of) these Terms, you may not use the Service.
These Terms may be updated from time to time. Changes are announced at least 30 days in advance by email or within the Service. By continuing to use the Service after a change is announced, you agree to the updated Terms.
Proposal Expert provides a SaaS platform for creating, sending, tracking and signing business proposals. The Service can be used through the web and integrates with external tools including third-party CRM systems.
We aim for 99.5% uptime but do not guarantee uninterrupted availability. Planned maintenance is announced in advance where possible.
To use the Service you must create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
You must be at least 18 years old or have reached the age of legal majority in your jurisdiction. You agree to provide accurate and current information.
The Service is offered through a free tier and paid plans. Prices are listed on our pricing page and may be adjusted over time with at least 30 days notice.
Paid plans are billed monthly or annually by automatic payment. Non-payment may lead to suspension of the Service after 14 days.
Refunds are handled in line with EU rules for digital services. For annual plans, a pro-rata refund is possible within the first 14 days after the start.
You retain ownership of all content (proposals, templates, files) you create or upload through the Service ("User Content"). You grant Proposal Expert a worldwide, non-exclusive license to process this User Content in order to provide the Service.
We do not use your User Content to train foundation AI models and we do not sell your data to third parties.
You are responsible for the lawfulness of your User Content. Infringing, illegal or offensive content may not be distributed through the Service.
You may not use the Service for: illegal activities, deception or phishing; sending spam; violating the rights of others; circumventing security; reverse engineering or extracting our source code.
We reserve the right to suspend or terminate accounts that violate this article, without refund.
The Service facilitates electronic signatures (Simple Electronic Signature, SES under eIDAS, EU 910/2014) with a complete evidence trail: a timestamped audit log including IP address and a unique verification ID. Proposal Expert provides the technology. The legal weight of a signed document depends on the context in which it is used.
We keep an audit trail of signing events (time, IP, browser fingerprint, unique verification ID) available through the verification URL on every signature.
The Service integrates with external tools including HubSpot, Salesforce, Pipedrive, Monday.com and others. Your use of these integrations is also subject to the terms of the relevant provider.
We are not responsible for changes to or interruptions of external APIs that may affect the operation of integrations.
All rights to the Service, including software, interface, brand assets and documentation (excluding your User Content), belong to Proposal Expert. Reproduction, distribution or derivative works are not permitted without explicit permission.
To the extent permitted by law, the total liability of Proposal Expert towards you is limited to the amount you paid for the Service in the 12 months preceding the event giving rise to the claim.
We are not liable for indirect damages, consequential damages, lost profits or data loss.
This limitation does not apply to damage caused by intent or willful recklessness.
You may cancel your account at any time through the account settings or by contacting us. Upon cancellation, access to the Service remains active until the end of the current billing period.
We may terminate accounts with 30 days notice for business reasons, or immediately in case of a breach of these Terms.
After termination, your data is retained for 30 days for any recovery requests, then permanently deleted (subject to legal retention obligations).
These Terms are governed by Dutch law. Disputes are submitted to the competent court in the district where Proposal Expert is established, unless mandatory law provides otherwise.

We are not liable for delay or failure to perform our obligations due to circumstances beyond our reasonable control. This includes outages at hosting providers, internet or power failures, cyberattacks, government measures, natural disasters or strikes. During such an event our obligations are suspended.
If any provision of these Terms is found to be wholly or partly invalid or unenforceable, the remaining provisions remain in full effect. The invalid provision is replaced by a valid one that approximates its purpose as closely as possible.
You may not transfer your rights and obligations under these Terms without our prior written consent. We may transfer our rights and obligations, for example in the case of a merger, acquisition or reorganisation, provided your rights under these Terms are not materially reduced as a result.
These Terms, together with our privacy policy and any additional terms referred to herein, constitute the entire agreement between you and Proposal Expert regarding the use of the Service. Oral commitments or earlier arrangements that conflict with these Terms no longer apply.
